1. About Momwell and These Terms

These Terms of Service (“Terms”) govern your use of the Momwell wellness platform at app.momwell.com, operated by Momwell Inc., a federally incorporated company in Canada (“Momwell”, “we”, “us”, or “our”).

These Terms apply only to app.momwell.com. They do not govern the Momwell therapy practice. If you are engaging Momwell for clinical therapy services, that relationship is governed by a separate therapeutic agreement.

2. This Is Not a Clinical Service

Momwell is a maternal wellness platform. Our tools - including inventories, interactive tools, mood tracking, sleep tracking, hormonal context features, and any other features available at app.momwell.com - are designed for educational and self-reflection purposes only.

Using our tools does not:

• Create a therapeutic relationship between you and Momwell or any Momwell clinician
• Constitute clinical assessment, diagnosis, or treatment of any kind
• Constitute medical, psychological, or psychiatric advice
• Replace or substitute for professional mental health care
• Make Momwell or any Momwell clinician your healthcare provider

Our tools reflect your self-reported experience back to you in a structured, meaningful way. They are a mirror, not a clinician. Results and interpretations are for informational and reflective purposes only. They are not diagnoses.

3. Eligibility

You must be at least 18 years of age to use our tools. By using app.momwell.com, you represent and warrant that you are 18 years of age or older.

If you are accessing our tools on behalf of another person, you represent that you have their consent to do so and that they are also 18 years of age or older.

Our tools are available to users in Canada and the United States. We make no representation that our tools comply with the laws of any other jurisdiction. If you access our tools from outside Canada or the United States, you do so at your own risk and are responsible for compliance with local laws.

4. Your Account

When you submit your name and email address to begin an inventory, we automatically create an account for you. You will receive a magic link by email, a password you create, or Google OAuth. All methods provide access to the same account and results.

Where you choose to use the hormonal context feature, you consent to the collection of reproductive health data as described in the Privacy Policy. This feature is entirely optional and the app is fully functional without it. Reproductive health data is deleted immediately upon account deletion or upon removal of the feature from your profile settings. It is explicitly excluded from our anonymized aggregate data retention.

You are responsible for:

• Keeping your email address accurate and up to date
• Keeping your sign-in credentials secure, whether that is a magic link, password, or connected Google account
• Notifying us at hello@momwell.com if you believe your account has been accessed without your authorisation

We reserve the right to suspend or terminate your account if we reasonably believe it is being used in violation of these Terms or in a way that could harm other users or Momwell.

5. Acceptable Use

You agree to use app.momwell.com only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Use our tools to provide clinical assessment or mental health advice to others
• Misrepresent our tools as clinical, diagnostic, or therapeutic services in any context
• Attempt to gain unauthorised access to our systems, other users' accounts, or our database
• Use automated means (bots, scrapers) to access or extract data from our platform
• Submit false or misleading information
• Use our tools in a way that infringes the intellectual property rights of Momwell or any third party
• Reverse engineer, copy, or reproduce any part of our tools or results without our written consent
• Use our tools if you are under 18 years of age

6. Intellectual Property

All content, tools, inventories, interactive tools, exercises, scoring frameworks, result profiles, copy, design, and technology at app.momwell.com - including inventories, interactive tools, exercises, mood tracking, sleep tracking, hormonal context features, and any other features or tools made available at app.momwell.com from time to time - are owned by Momwell Inc. or its licensors and are protected by Canadian and international intellectual property laws.

You are granted a limited, personal, non-transferable, non-exclusive licence to use our tools for your own private, non-commercial purposes. This licence does not include the right to:

• Reproduce, copy, or republish any questions, result profiles, scoring frameworks, exercises, or other content from any tool or feature available at app.momwell.com
• Use our content for commercial purposes without our written consent
• Create derivative works based on our tools or content

Your personal inventory responses and results belong to you. You grant us a limited licence to store and process them for the purpose of delivering the services described in these Terms.

7. Third-Party Content and Links

Our tools may recommend or link to third-party content including podcast episodes, blog posts, articles, and external resources. This content is provided for informational purposes only.

Momwell does not endorse, warrant, or take responsibility for the accuracy or appropriateness of third-party content. Links to third-party websites do not constitute an endorsement of those websites or their content.

8. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Momwell disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that our tools will be uninterrupted, error-free, or free of harmful components
• Warranties regarding the accuracy, completeness, or usefulness of any results or content
• Warranties that our tools are appropriate for your individual circumstances

Our tools are not validated clinical instruments for the purpose of diagnosis or treatment. Results are based on your self-reported responses and reflect patterns in your reported experience - not clinical findings.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Momwell Inc., its directors, officers, employees, contractors, and agents will not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of data, profits, goodwill, or other intangible losses
• Any damages arising from your reliance on the results, interpretations, or recommendations generated by our tools
• Any damages arising from your inability to access or use our tools
• Any actions you take or do not take in response to content on our platform

In no event will our total liability to you for all claims arising from your use of our tools exceed the greater of the amount you paid to us in the twelve months preceding the claim, or CAD $100.

10. Indemnification

You agree to indemnify, defend, and hold harmless Momwell Inc. and its directors, officers, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of our tools in violation of these Terms
• Your misrepresentation of our tools to others as clinical or diagnostic services
• Your violation of any applicable law or the rights of a third party

11. Privacy

Your use of our tools is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our tools, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy.

Our Privacy Policy is available at app.momwell.com/privacy.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this document. Where appropriate, we will notify you by email.

Your continued use of our tools after any update constitutes your acceptance of the revised Terms. If you do not agree with updated Terms, please stop using our tools and contact us to request deletion of your account and data.

13. Termination

You may stop using our tools at any time. You may request deletion of your account and personal information by contacting hello@momwell.com.

We reserve the right to suspend or terminate your access to our tools at any time, without notice, if we believe you have violated these Terms or if we discontinue the service. We will make reasonable efforts to notify you and provide access to your data before terminating your account.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of our tools will be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

Before commencing any legal proceeding, you agree to contact us at hello@momwell.com and make a good-faith effort to resolve the dispute informally. We will also make a good-faith effort to resolve disputes informally.

15. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Momwell Inc. with respect to your use of app.momwell.com.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

These Terms do not create a partnership, joint venture, employment, or agency relationship between you and Momwell.
